Should I incorporate federally if I plan to raise venture capital?
Not automatically, and the question is usually asked too early. An Ontario corporation can take investment perfectly well, and most early rounds in this region are done with Ontario companies. A federal corporation matters more if you expect offices in several provinces. What investors care about far more than the jurisdiction is a clean share structure and a complete minute book, which is where most first time founders actually lose time.
My co-founder is in Kitchener and I am in Waterloo. Does that matter?
Not for the corporation. An Ontario corporation covers the whole province and your registered office can be either address. Municipal licensing is the only thing that differs across that boundary, and it genuinely does: Kitchener and Waterloo use different words for the same businesses and price them differently, so check whichever city you actually operate in rather than the one you live in.
Do I need a Waterloo business licence as well as incorporating?
They are two different things and incorporating does not replace the licence. Incorporating is a provincial filing that creates the company. A municipal licence is Waterloo's permission to carry on a specific activity inside the city, and it is issued under the city's own by-law.
