Two corporations, two completely different deadlines

Federal returns are counted from the day you incorporated. Ontario returns are counted from your fiscal year end, which is usually a different date and is not written on your certificate. Same company, same year, months apart.

Worked example for a corporation incorporated March 14, 2024 with a 31 December year end. Those two dates are 48 days apart. Both are computed by the same code that runs your reminders.

    Federal returns are due 60 days after your incorporation anniversary. Ontario's are due six months after your fiscal year end, which is a different date entirely. We track whichever applies to you, and warn you 60, 21 and 7 days ahead.

    Mandatory federally and in most provinces, and since January 2024 it has to be filed alongside your federal annual return. Missing it carries real penalties, and it is the item founders most often do not know exists.

What this plan does not do

Some services bundle contract drafting into a compliance subscription. We do not, because drafting agreements is legal work and CorpStart is a filing service, not a law firm. Specifically, not included:

  • Shareholder agreements, SAFEs and convertible notes
  • Employment and contractor agreements
  • Intellectual property assignments and NDAs
  • Employee stock option plans
  • Legal or tax advice of any kind

We list the deadline rule and where we read it, so you can check us. If we have not confirmed a jurisdiction’s rule against the registry or the statute, we do not sell you a filing promise for it.

Federal annual return

Corporations Canada

CBCA. Filed within the 60 days following the anniversary date of incorporation, amalgamation or continuance. No return is owed for the year of incorporation.

Ontario Business Registry

Corporations Information Act. Filed within six months after the end of the corporation's tax year end. The CRA stopped accepting these on the ministry's behalf on 5 May 2021; they now go directly to the Ontario Business Registry.

Business Corporations Act (BC) s.51. Filed within 2 months after each anniversary of the date on which the company was recognized, which means incorporation, amalgamation, extraprovincial registration or continuation into B.C.

Alberta, not yet

Alberta Corporate Registry

We know exactly when an Alberta return is due: the last day of the month after your anniversary month, under Alta Reg 118/2000 s.24. What we cannot yet do is file it. Alberta accepts corporate filings only through an authorised registry agent, so we are not going to promise you a filing we cannot perform.
